Who can use memoe

You must be at least 18 years old, or the age of majority where you live if that’s older, and able to form a binding contract. You can’t use memoe if the law or an earlier suspension by us prevents you.

Your account

You’re responsible for your account and for keeping your device and sign-in secure. Give us accurate information, keep to one account per person, and tell us at info@commutegeek.com if you think someone else has used your account.

What memoe does

memoe helps you keep track of the people in your life. With your permission, it uses your contacts and calendar, remembers what you tell it, answers your questions, suggests when to reach out, and helps you make intros and plans. You can talk to memoe in the app and, once it’s available, by text.

memoe is a personal tool and doesn’t give professional advice of any kind. We’re always working on memoe, so features may be added, changed, limited or removed, and some may be labeled as beta.

Your content

You keep ownership of what you add to memoe, such as your messages, memories and notes (“your content”). You give us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit and display your content only as needed to provide, maintain, secure and support memoe for you, and as described in our Privacy Policy. This license ends when you delete your content or your account, except for backups and records we have to keep for a limited time.

You’re responsible for your content and confirm that you have the right to give it to us.

Information about other people

memoe stores information about people in your life, most of whom don’t use memoe. You’re responsible for having the right to share that information with memoe and for using memoe in a way that respects their privacy and the law. Only add what you have a legitimate reason to keep.

Don’t use memoe to monitor or profile people, or to make decisions about anyone’s employment, credit, housing or insurance. If someone tells us their information is being misused, we may review it, remove it or restrict the account involved.

Acceptable use

Don’t use memoe to:

• harass, threaten, stalk, intimidate, bully or surveil anyone, or expose someone’s private information;
• send spam or bulk unsolicited messages, including through intros or meetup links;
• impersonate anyone or misrepresent your relationship with someone;
• share content that’s illegal, hateful or sexually exploitative, or that violates someone’s privacy or intellectual property;
• break the law, including privacy, anti-spam and telemarketing laws;
• scrape, reverse engineer or get around memoe’s security features or usage limits;
• interfere with memoe or anyone’s use of it, including by uploading malware or overloading our systems.

We may remove content, limit features or suspend accounts that break these rules.

Texting memoe

If you text memoe, our SMS Terms also apply. Message and data rates may apply. Reply STOP at any time to stop texts, or HELP for help.

AI output

memoe uses AI to understand what you ask, suggest memories and draft messages, intros and suggestions. AI output can be wrong, incomplete or out of date, and it can mix people up. Check anything important before you rely on it or send it. memoe’s suggestions aren’t professional advice, and you’re responsible for the decisions you make with them.

You decide what gets sent

memoe can draft messages, intros and plans, but you decide whether to send or share them. memoe won’t contact people in your roster unless you choose an action that sends or shares something. You’re responsible for what you send, who you send it to, and following the laws that apply to your messages.

Intros and meetup links

When you create an intro or meetup page, you choose what it shows. Anyone with the link can view it until it expires or you turn it off. People who respond don’t need an account, and what they submit is shared with you. Only include information you have the right to share, and only send links to the people they’re meant for. We may disable links that are misused.

Subscriptions and payments

memoe may offer free features and paid subscriptions. Subscriptions are bought through Apple’s App Store and billed by Apple to your Apple account, and the price and billing period are shown before you buy. A subscription renews automatically unless you cancel at least 24 hours before the end of the current period; you can manage or cancel it in your Apple account settings. Apple handles refunds under its own policies. We may change prices or what free and paid plans include, with notice where the law requires it.

Our intellectual property

memoe, including its name, logo, software, design and content (other than your content), belongs to CommuteGeek Corp. or its licensors. We give you a personal, limited, non-exclusive, non-transferable and revocable license to use memoe under these Terms. If you send us feedback or ideas, we may use them without any obligation to you.

Other services

memoe works with services we don’t control, such as Apple, your mobile carrier and your device’s contacts and calendar. Their own terms and policies apply to your use of them, and we’re not responsible for them.

Ending your use of memoe

You can stop using memoe at any time and delete your account in the app or by emailing us. We may suspend or end your access if you break these Terms, if we need to in order to protect people or memoe, if the law requires it, or if we stop offering memoe. Where it’s reasonable, we’ll tell you in advance. Sections that by their nature should last, such as disclaimers, limitation of liability and governing law, continue to apply after your access ends.

Disclaimers

memoe is provided “as is” and “as available”. To the extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We don’t promise that memoe will be uninterrupted, secure or error-free, that AI output, reminders or suggestions will be accurate or on time, or that text messages will be delivered. Some places don’t allow these disclaimers, so some of them may not apply to you.

Limitation of liability

To the extent the law allows, CommuteGeek Corp. and its directors, employees and service providers won’t be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from or related to memoe or these Terms. To the extent the law allows, our total liability for all claims related to memoe is limited to the greater of the amount you paid for memoe in the 12 months before the claim and CAD $100. Nothing in these Terms limits liability that can’t be limited by law.

Governing law and disputes

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada that apply there, without regard to conflict of law rules. If you have a concern, email us first at info@commutegeek.com so we can try to resolve it informally. If we can’t, disputes will be resolved in the courts of the Province of Alberta, unless the law where you live gives you the right to bring a claim in your local courts. Nothing in these Terms takes away rights you have under consumer protection laws that apply to you and can’t be waived.

Changes to these Terms

We may update these Terms. We’ll post the new version here and update the date at the top, and if a change is significant, we’ll give you reasonable notice before it takes effect, for example in the app or by email. If you keep using memoe after a change takes effect, you accept the updated Terms. If you don’t agree, stop using memoe and delete your account.

General

These Terms, together with our Privacy Policy and SMS Terms, are the whole agreement between you and us about memoe. If part of these Terms can’t be enforced, the rest still applies. If we don’t enforce a right, we haven’t given it up. You can’t transfer these Terms without our consent; we may transfer them as part of a merger, acquisition or sale of assets.
